Terms of Service

1. Important Notice

ZikQuote is a marketing, quote request, project estimate, and lead-generation platform. We are not a contractor, installer, repair company, remodeler, construction company, home-improvement company, insurer, lender, broker, agent, professional adviser, or provider of home services.

ZikQuote is not a consumer reporting agency, and no Service or information we provide is a consumer report under the Fair Credit Reporting Act. You may not use the Services to determine eligibility for credit, insurance, employment, housing, or another purpose governed by consumer-reporting law.

We may collect information from consumers and disclose, share, license, transfer, or sell that information to independent third parties, including contractors, home-service providers, lead buyers, call centers, marketing partners, affiliates, and other commercial partners.

You understand and agree that we may be compensated when your information is submitted, transferred, shared, licensed, sold, claimed, purchased, routed, or otherwise made available to third parties. You are not entitled to any compensation from those transactions.

2. Eligibility

You may use the Services only if you:

• Are at least 18 years old
• Are legally able to enter into a binding agreement
• Are located in the United States
• Will use the Services only for lawful purposes
• Have authority to submit the information you provide
• Agree to these Terms and acknowledge our Privacy Policy

If you use the Services on behalf of another person, property owner, business, or entity, you represent that you have authority to do so.

3. Service Description

The Services may allow you to:

• Request a project estimate
• Submit a home-service installation, maintenance, remodeling, repair, or related quote request
• Provide property and project information
• Receive an instant, automated, estimated, or general project range
• Be connected with, contacted by, or matched with third-party contractors or service providers
• Receive phone calls, text messages, emails, or other communications
• Access informational content related to home services

We may change, suspend, limit, discontinue, or modify any part of the Services at any time without notice.

4. No Guarantee of Quotes, Matches, Pricing, or Services

ZikQuote does not guarantee that:

• You will receive any quote
• You will receive a specific number of contractor responses
• Your request will be matched exclusively or only with one professional
• You will be contacted by any contractor or service provider
• Any contractor will accept, schedule, inspect, quote, or perform your project
• Any quote, estimate, or price range will be accurate
• Any third party will be licensed, insured, qualified, available, reputable, or suitable
• Any third party will perform work safely, legally, timely, or professionally
• Any project will be completed
• Any dispute with a third party will be resolved

All quotes, inspections, appointments, contracts, payments, services, warranties, representations, and disputes are solely between you and the applicable third party.

We may perform or receive limited screening information about certain providers, but any screening is point-in-time, may rely on third-party or self-reported information, may vary by provider and market, and is not a guarantee. Licenses, insurance, ownership, personnel, complaint history, and qualifications can change after a check. You must independently verify current credentials before hiring or paying a provider.

5. Estimates and Instant Quotes Are Informational Only

Any output provided through the Services—including anything labeled an "estimate," "instant estimate," "quote," "instant quote," "project range," "price range," or "calculator result"—is a broad, preliminary range provided for general informational and marketing purposes only. It is not an actual contractor quote, bid, offer, appraisal, inspection, professional opinion, contract, guarantee, or promise of the amount you will pay or that any contractor or company will quote or charge.

We try to make these ranges as useful and accurate as reasonably possible using the project information you provide, available market data, regional pricing information, assumptions, third-party data, market averages, and automated calculations. Even with those efforts, the information or data may be limited, outdated, incomplete, incorrect, or inapplicable to your property, and any estimate or instant quote may be mistaken, inaccurate, or materially different from actual pricing.

Actual pricing may vary significantly based on contractor availability, property condition, measurements, materials, labor, location, permitting, inspections, code requirements, project complexity, concealed conditions, damage, timing, and other factors. ZikQuote does not warrant that any estimate or instant quote is accurate, complete, current, or applicable to your specific project.

By requesting, viewing, or using an estimate or instant quote, you acknowledge and agree that it is informational only and may be wrong. You should obtain an on-site inspection, independent written quotes, and appropriate professional advice before making purchasing, contracting, financing, insurance, or other decisions. Only the terms of a separate agreement between you and a contractor or service provider determine the work to be performed and the amount you may actually pay. To the maximum extent permitted by law, ZikQuote is not liable for differences between an estimate or instant quote shown through the Services and any actual quote, price, cost, charge, scope of work, or service outcome.

6. Your Information and Representations

You represent and warrant that:

• All information you provide is accurate, current, complete, and not misleading
• You have the right to provide the name, phone number, email address, property address, photos, project details, and other information submitted
• Any phone number or email address you provide belongs to you, and you are the subscriber, account holder, or customary user authorized to give the requested communication consent
• You are the property owner or have authority to request information about the property
• Your use of the Services will not violate any law, contract, rights of another person, or these Terms
• You will not submit false, fake, fraudulent, spam, abusive, or unlawful requests
• You will not use the Services to harass, defraud, impersonate, or harm another person

You are solely responsible for the information you submit.

7. Authorization to Collect, Use, Share, License, Transfer, and Sell Information

By using the Services or submitting information, you authorize ZikQuote to collect, use, store, analyze, disclose, share, license, transfer, sell, and otherwise process your information as described in these Terms and our Privacy Policy.

This contractual authorization does not waive any nonwaivable privacy right. Where law requires a separate opt-in choice, we rely on the affirmative disclosure and action shown at the point of collection. You may exercise applicable opt-out and other rights as described in our Privacy Policy.

This authorization includes information such as:

• Name
• Email address
• Phone number
• Property address
• ZIP code
• Project type
• Property and project details
• Timeline
• Budget-related information
• Photos, notes, and uploaded files
• Form responses
• Communication history
• IP address
• Device and browser data
• User agent
• Page URL
• Referrer URL
• Advertising/campaign data
• Button clicks
• Submission timestamps
• Consent records
• Fraud-prevention and quality-control data
• Other information you submit or that we collect through the Services

You authorize us to disclose, share, license, transfer, or sell this information to third parties, including contractors, home-service providers, lead buyers, call centers, appointment setters, marketing partners, affiliates, analytics providers, advertising partners, service providers, and other commercial counterparties.

You understand that once your information is provided to a third party, that third party may contact you and may process your information under its own terms and privacy policy. A lead buyer, broker, marketplace, or other intermediary may further disclose, transfer, license, or resell your information to one or more downstream contractors, service providers, buyers, call centers, or marketing partners.

8. Consent to Calls, Texts, Emails, and Other Communications

By affirmatively accepting the contact-consent disclosure and submitting a form, you provide your electronic signature and consent for ZikQuote and participating third parties that receive your information through the Services to contact you as described in that disclosure.

Subject to applicable law, you consent to receive:

• Phone calls
• Live agent calls
• Autodialed calls
• Calls using automated or AI-assisted dialing technology
• Artificial-voice or prerecorded calls, where permitted by law
• SMS/MMS text messages
• Emails
• Mail
• Other electronic communications

ZikQuote's form consent does not authorize an independent seller to deliver an artificial-voice or prerecorded telemarketing message where that seller must obtain its own seller-specific agreement directly from you. Each caller is responsible for any additional consent required by the technology and message it uses.

These communications may be sent for purposes including quote requests, contractor matching, scheduling, project follow-up, marketing, advertising, service offers, quality review, and related business purposes.

Consent is not a condition of purchasing any goods or services. Message and data rates may apply. Message frequency may vary.

You may revoke consent at any time by following opt-out instructions, replying STOP to text messages where supported, using unsubscribe links in emails where available, or contacting hello@zikquote.com or 401-314-3394.

You agree that we may maintain records of your consent, electronic signature, submission, communications, and opt-out requests for legal, compliance, operational, evidentiary, fraud-prevention, and dispute-resolution purposes.

9. Electronic Signature and Electronic Records

You agree that your use of the Services, form submission, button click, checkbox selection, typed name, phone number submission, email submission, or other electronic action may constitute your electronic signature.

You consent to transact electronically and to receive records, notices, disclosures, agreements, and communications electronically.

You agree that electronic records, electronic signatures, clickwrap acceptance, consent logs, timestamps, IP addresses, user agents, page URLs, referrer URLs, form versions, and related records may be used to demonstrate your consent, authorization, acceptance, and agreement.

10. Third-Party Contractors and Service Providers

Third parties that receive your information are independent businesses. They are not employees, agents, partners, representatives, or joint venturers of ZikQuote.

• Background checks
• Pricing
• Quotes
• Availability
• Scheduling
• Sales practices
• Communications
• Contracts
• Payments
• Workmanship
• Materials
• Warranties
• Safety
• Legal compliance
• Property damage
• Injuries
• Delays
• Cancellations
• Disputes
• Privacy or data practices

You are solely responsible for evaluating and selecting any contractor or service provider. You should independently verify licenses, insurance, references, reviews, permits, pricing, contract terms, and qualifications before hiring any third party.

11. No Endorsement

Any matching, routing, introduction, transfer, listing, contact, or availability of a third party through the Services does not constitute an endorsement, recommendation, certification, guarantee, warranty, or representation by ZikQuote.

We may receive compensation from third parties, including for leads, referrals, transfers, data licenses, advertising, marketing, claimed leads, sold leads, or related transactions.

12. User Content

If you submit photos, descriptions, reviews, feedback, messages, files, or other content through the Services ("User Content"), you grant ZikQuote a worldwide, royalty-free, sublicensable, transferable, perpetual, irrevocable license to use, host, store, reproduce, modify, analyze, display, transmit, disclose, share, and process that User Content for purposes related to operating, improving, marketing, securing, and enforcing the Services.

You represent that you own or have rights to submit the User Content and that it does not violate any law or third-party rights.

We may remove, restrict, or refuse User Content at any time.

13. Prohibited Conduct

You may not:

• Submit false, misleading, fraudulent, or unauthorized information
• Submit another person's contact information or purport to consent for them
• Use the Services for spam, harassment, abuse, fraud, or illegal activity
• Interfere with the Services or security systems
• Use bots, scripts, scraping, automation, or form abuse
• Attempt unauthorized access to systems, data, accounts, or networks
• Reverse engineer, copy, modify, or exploit the Services
• Upload malicious code, viruses, or harmful files
• Misrepresent your identity or authority
• Violate the rights of ZikQuote, users, contractors, or third parties
• Use the Services in a way that creates legal, security, operational, or reputational risk for ZikQuote

We may suspend, block, limit, or terminate access for any suspected violation.

14. Intellectual Property

The Services, including all websites, landing pages, software, forms, copy, designs, logos, trademarks, service marks, graphics, content, workflows, databases, and technology, are owned by ZikQuote or its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, lawful, non-commercial purposes.

No rights are granted except as expressly stated in these Terms.

15. Privacy

Our Privacy Policy explains how we collect, use, disclose, share, sell, and retain information. By using the Services, you acknowledge that notice. The Privacy Policy is not a waiver of any nonwaivable privacy right.

16. Availability and Changes

We may update, modify, suspend, discontinue, or restrict the Services at any time, with or without notice.

We do not guarantee that the Services will be available, uninterrupted, secure, accurate, error-free, or free from harmful components.

We are not responsible for delay or failure caused by events beyond our reasonable control, including failures of networks, hosting, utilities, vendors, data sources, telecommunications, labor, government action, natural events, cyberattacks, or other force-majeure events.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

ZIKQUOTE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, QUALITY, AND COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SERVICES, ESTIMATES, MATCHES, THIRD-PARTY CONTACTS, CONTRACTOR INFORMATION, OR CONTENT WILL BE ACCURATE, COMPLETE, TIMELY, SECURE, ERROR-FREE, OR SUITABLE FOR YOUR NEEDS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIKQUOTE, AURADOX ENTERPRISES LLC, AND THEIR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SERVICE PROVIDERS, LICENSORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES, YOUR USE OF THE SERVICES, YOUR SUBMITTED INFORMATION, THIRD-PARTY CONDUCT, CONTRACTOR SERVICES, COMMUNICATIONS, OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (USD $100), OR (B) THE AMOUNT YOU PAID DIRECTLY TO ZIKQUOTE FOR USE OF THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.

19. Indemnification

You agree to defend, indemnify, and hold harmless ZikQuote, AuraDox Enterprises LLC, and their owners, officers, directors, employees, contractors, agents, affiliates, service providers, licensors, and representatives from and against all claims, demands, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the Services
• Information you submit
• User Content you provide
• Your violation of these Terms
• Your violation of law
• Your violation of another person's rights
• Your communications or transactions with third parties
• Your property, project, contractor selection, or service dispute
• Your misuse of the Services

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with us.

20. Arbitration Agreement

Please read this section carefully. It affects your legal rights.

Before starting arbitration, the claimant must send a written Notice of Dispute to hello@zikquote.com with the subject line Notice of Dispute. The notice must include the claimant's name and contact information, the facts and legal basis of the dispute, and the relief requested. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Any applicable limitations period is tolled during that 30-day period.

Except for claims that qualify for small claims court or claims seeking injunctive relief for intellectual property misuse, unauthorized access, or security abuse, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, our Privacy Policy, your information, communications, or your relationship with ZikQuote will be resolved by final and binding arbitration on an individual basis.

This arbitration agreement is governed by the Federal Arbitration Act. Arbitration will be administered by the American Arbitration Association (AAA) under its then-current Consumer Arbitration Rules and applicable Mass Arbitration Supplementary Rules, available at adr.org, unless the parties agree in writing to another provider. If AAA is unavailable or declines to administer the dispute and the parties cannot agree on a substitute, a court with jurisdiction will appoint a provider or arbitrator under 9 U.S.C. § 5.

Arbitration may occur by documents, telephone, video, or in person under the AAA rules. Any in-person hearing will occur in a location reasonably convenient to you unless the parties or arbitrator agree otherwise. Fees will be allocated under the AAA Consumer Rules, but ZikQuote will pay amounts the law or those rules require it to pay. The arbitrator may award the same individual remedies a court could award and will issue a reasoned written decision. A court may enter judgment on the award.

The arbitrator will have authority to resolve disputes regarding arbitrability, enforceability, interpretation, and scope of this arbitration agreement, except that courts will decide disputes regarding the class action waiver below and whether a valid arbitration opt-out was submitted.

You may opt out of this arbitration agreement by emailing hello@zikquote.com within 30 days after the first date you accept these Terms. Use the subject line Arbitration Opt-Out and include your full name, phone number and email address used with the Services, and a clear statement that you opt out of arbitration. Opting out of arbitration will not affect the other Terms or your ability to use the Services. An opt-out applies only to the person who submitted it.

21. Class Action Waiver

You and ZikQuote agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class, collective, consolidated, private attorney general, or representative proceeding.

The arbitrator may not consolidate claims of multiple persons or preside over any class, collective, consolidated, or representative proceeding.

If this class action waiver is found unenforceable as to a particular claim, then that claim must proceed in court and not arbitration.

22. Jury Trial Waiver

To the maximum extent permitted by law, you and ZikQuote waive any right to a jury trial for any dispute arising out of or relating to these Terms, the Services, our Privacy Policy, your information, communications, or your relationship with ZikQuote.

23. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except to the extent federal law applies or preempts state law. This choice does not deprive you of nonwaivable protections of the law of your state of residence.

24. Venue

For any dispute not subject to arbitration, you agree to exclusive jurisdiction and venue in the state or federal courts located in Connecticut, and you consent to personal jurisdiction in those courts.

25. Termination

We may suspend, restrict, block, or terminate your access to the Services at any time, with or without notice, for any reason, including suspected fraud, abuse, security risk, legal risk, violation of these Terms, or operational needs.

Sections that by their nature should survive termination will survive, including sections relating to information use, intellectual property, disclaimers, limitation of liability, indemnification, arbitration, class action waiver, governing law, and venue.

26. Assignment

You may not assign or transfer these Terms without our prior written consent.

We may assign, transfer, delegate, or sublicense these Terms or our rights and obligations at any time, including in connection with a merger, acquisition, financing, sale of assets, restructuring, bankruptcy, corporate transaction, or by operation of law.

27. Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, if permitted by law.

28. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

29. Entire Agreement

These Terms, together with any additional terms presented to and accepted by you, constitute the entire agreement between you and ZikQuote regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings regarding the Services. Our Privacy Policy and other notices describe our practices but do not waive statutory rights.

30. Updates to These Terms

We may update these Terms at any time by posting revised Terms with a new "Last Updated" date. Unless otherwise stated, updates are effective when posted.

Your continued use of the Services after updated Terms are posted means you accept the updated Terms.
