Terms of Service

1. Legal Entity and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you and AuraDox Enterprises LLC, operating as ZikQuote ("ZikQuote," "Company," "we," "us," and "our"). These Terms govern your access to and use of the ZikQuote website, quote request forms, and related services (collectively, the "Services").

By accessing or using the Services, or by clicking any submit, continue, estimate, matching, or similarly labeled button in any quote flow, you agree to these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, do not use the Services.

You agree that submitting a form or clicking any such button constitutes your electronic signature, acceptance of these Terms, and written instruction to receive and authorize communications as described in these Terms and our Privacy Policy, including for applicable FCC and TCPA compliance purposes.

2. Service Scope

ZikQuote is a marketing and lead-generation platform. We are not a contractor, broker, insurer, lender, home-services provider, or agent for any user or contractor. We do not perform roofing or home-improvement work.

We connect consumers with independent third parties, including local contractors and other service providers that may provide, quote, schedule, or fulfill requested services.

3. Eligibility and User Responsibilities

You represent and warrant that:

• You are at least 18 years old and legally able to enter this agreement
• All information you submit is accurate, current, and complete
• You have authority to submit information about the property and contact points provided
• You will use the Services only for lawful purposes
• Any phone number or email you provide is yours or you have valid permission to provide it and receive communications at that contact point

4. Information Submission, Lead Transfer, and Sale

You authorize ZikQuote to collect, use, license, transfer, share, and sell information you submit (including contact, property, project, and submission-metadata details) to third parties, including local contractors, home-service providers, lead buyers, call centers, affiliates, marketing partners, and other commercial counterparties, to connect you with a party that may evaluate, purchase, market to, provide, or fulfill your quote request.

You understand and agree that your information may be transferred to one or more third parties and that multiple third parties may contact you, while some recipients may receive or review your information and not contact you. You acknowledge we may receive compensation for leads, lead transfers, data licensing, and related data transfers. You are not entitled to compensation from these transactions.

Information transferred under this section may include the details you submit in a quote form together with associated submission records such as timestamp, page URL or referrer data, IP address, user agent, and form interaction metadata.

5. TCPA Consent to Calls and Texts

By submitting a quote form or clicking any form submission/continue button, you provide prior express written consent for ZikQuote and participating third parties that receive your information through the Services, including local contractors and marketing partners, to contact you at the phone number and email you provide, including through automated technology, where permitted by applicable law.

• Your form submission and button click constitute your electronic signature
• Consent includes calls, SMS/MMS text messages, and emails
• Consent includes calls using an automatic telephone dialing system and prerecorded or artificial voice messages
• Consent is not a condition of purchasing any goods or services
• Message and data rates may apply
• You may revoke consent at any time by following opt-out instructions (for example, replying STOP to text messages) or contacting hello@zikquote.com

You authorize ZikQuote to maintain records associated with that assent and submission, including the form flow, page URL or referrer, timestamp, IP address, user agent, and other submission metadata, for operational, routing, legal, compliance, and evidentiary purposes, including records used to demonstrate your electronic signature and consent.

6. No Warranty on Quotes or Contractor Outcomes

ZikQuote does not guarantee that you will receive quotes, responses, appointments, offers, or completed services. We do not guarantee quality, pricing, licensing status, insurance, timeliness, legality, safety, or performance of any contractor or third party.

Any engagement, contract, payment, or dispute between you and a third party is solely between you and that third party.

7. Prohibited Conduct

You may not:

• Submit false, misleading, or fraudulent information
• Use the Services to harass, abuse, or violate legal rights
• Interfere with or disrupt the Services, systems, or security controls
• Attempt unauthorized access, scraping, reverse engineering, or data extraction
• Use bots or automation to abuse forms, traffic, or platform functionality

8. Intellectual Property

The Services and all related content, software, branding, and design are owned by ZikQuote and/or its licensors and protected by applicable intellectual property laws. You receive a limited, revocable, non-exclusive license for personal, non-commercial use of the Services.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, OR ACCURACY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIKQUOTE, AURADOX ENTERPRISES LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICES OR THIRD-PARTY CONDUCT.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE (12) MONTHS, WHICHEVER IS GREATER.

11. Indemnification

You agree to defend, indemnify, and hold harmless ZikQuote and AuraDox Enterprises LLC, and their affiliates, personnel, and representatives, from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising out of or related to your use of the Services, submitted information, legal violations, or interactions with third parties.

12. Arbitration Agreement and Class Action Waiver

Any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration on an individual basis, except that either party may bring a qualifying claim in small claims court.

You waive any right to a jury trial and any right to participate in a class, collective, consolidated, or representative action or arbitration. Arbitration shall be administered by the American Arbitration Association under its applicable consumer rules.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Connecticut, without regard to conflicts of law principles. For matters not subject to arbitration, exclusive jurisdiction and venue lie in state or federal courts located in Connecticut, and you consent to personal jurisdiction there.

14. Suspension and Termination

We may suspend, limit, or terminate access to the Services at any time, with or without notice, for any reason, including suspected abuse, fraud, legal risk, or Terms violations.

15. Updates to These Terms

We may update these Terms at any time by posting revised Terms. The "Last Updated" date reflects the latest revision date. Continued use of the Services after an update means you accept the revised Terms.

16. Severability and Assignment

If any provision is unenforceable, the remaining provisions remain in effect. ZikQuote may assign these Terms without restriction in connection with mergers, asset sales, financing, reorganization, or by operation of law.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and ZikQuote regarding the Services and supersede prior or contemporaneous communications on the same subject.
